Mr. Winton is a licensed attorney and practiced in the field of corporate and security law in Toronto for 15 years. He has been involved in real estate transactions both in Canada and the U.S. and was instrumental in the organization of Medi-Villas Inc., a major nursing home enterprise which operated in both countries for a number of years before being taken over. He has acted as a consultant to companies in the nursing home industry on numerous occasions.

Since 1987, he has been active in the Texas real estate market, during which time he was involved in transactions for the purchase and sale of a number of prestigious condominiums and apartments in both Dallas and Houston.

With the economic slump in real estate markets, he focused his attention on financing and strategic planning for a number of venture capital companies primarily with proprietary products or some other form of market advantage. A number of these companies after establishing their business domination were able to utilize the IPO market as an exit strategy for initial investors.

With the resurgence of the real estate market in Canada, he has revived his activities in all aspects of real estate development and financing. He was integral in the formation of Canadian Apartment Properties Real Estate Investment Trust which completed a successful Initial Public Offering in May of 1997 raising $85 million. Since its IPO CAPREIT has raised in excess of $350 million in equity.

In February 2002, he acquired 7 Cici's Restaurants in Houston from CiCi Enterprises, Inc., and has since acquired the rights to additional Franchise development for CiCi's in the states of Ohio, West Virginia and Maryland. When fully developed, this will encompass well over 85 restaurants, making it the largest franchisee.
